Quantapixel Software Solutions is committed to maintaining the confidentiality and integrity of all proprietary and sensitive information shared by clients, partners, employees, and other stakeholders. This Non-Disclosure Agreement (NDA) Policy outlines our obligations and responsibilities related to confidential information.

1. Definition of Confidential Information

Confidential Information includes, but is not limited to:

• Business strategies, plans, and models
• Source code, software, documentation, and designs
• Client data and personal information
• Financial information and pricing structures
• Proprietary tools, databases, and processes
• Any other non-public information marked as confidential

2. Obligations of Confidentiality

• We will not disclose or share any confidential information with third parties without prior written consent from the disclosing party.
• We will use confidential information solely for the purpose of delivering services or as agreed upon in writing.
• All information will be stored securely and access will be restricted to authorized personnel only.

3. Exclusions

Confidential information does not include information that:

• Is publicly available at the time of disclosure
• Becomes publicly available through no fault of Quantapixel
• Was already known to the recipient prior to disclosure
• Is independently developed without reference to confidential information
• Is required to be disclosed by law, court order, or governmental authority

4. Duration of Confidentiality

The obligations of confidentiality will remain in effect for a period of five (5) years from the date of disclosure, or as specified in a written NDA agreement.

5. Return or Destruction of Information

Upon request or termination of the business relationship, we will return or securely destroy all confidential information received from the disclosing party, unless otherwise required by law or agreed in writing.

6. Breach and Remedies

Any unauthorized use or disclosure of confidential information will be considered a breach of this policy. In such cases, the disclosing party may seek legal remedies including but not limited to injunctions and compensation for damages.
